1. Acceptance of Terms
By engaging My Digital Setups ("the Company", "we", "us", "our") for any marketplace account management, quick-commerce onboarding, website development, or related digital service, the client ("you", "the Client") agrees to be bound by these Terms & Conditions in full.
If you do not agree with any part of these Terms, you must not proceed with placing an order, making a payment, or otherwise availing our services. Continued use of our services after any update to these Terms constitutes acceptance of the revised Terms.
2. Nature of Services
My Digital Setups provides account management, catalog, advertising, and consultancy-based services for third-party marketplaces and quick-commerce platforms (including but not limited to Amazon, Flipkart, Meesho, Myntra, Nykaa, Blinkit, Zepto, Swiggy Instamart, and Big Basket), as well as website development and digital growth services.
We act solely as a service provider and consultant. We are an independent entity and are not an agent, employee, franchise, or official representative of any marketplace or quick-commerce platform mentioned on this website.
3. No Guarantee of Results
The Client acknowledges that sales, rankings, visibility, approvals, and account performance on third-party platforms depend on multiple external factors including but not limited to platform algorithms, policy changes, market competition, product quality, pricing, and consumer demand โ none of which are within the Company's control.
We do not guarantee any specific outcome, sales figure, growth percentage, ranking position, or timeline. Any figures, projections, or examples shared during consultation, on this website, or in marketing material are illustrative only and do not constitute a warranty or assurance of results.
4. Client Responsibilities
The Client is solely responsible for providing accurate, complete, and lawful information, documents, product data, and credentials required to deliver the service. The Company shall not be liable for any delay, rejection, suspension, or penalty arising from incorrect, incomplete, false, or fraudulent information or documents provided by the Client.
The Client is responsible for ensuring their products, brand, and business comply with applicable laws, marketplace policies, and quality/safety standards. The Company is not responsible for verifying the legality, authenticity, or regulatory compliance of the Client's products.
The Client must maintain the confidentiality of any login credentials shared with the Company and agrees that the Company will not be held liable for any unauthorized access resulting from the Client's own negligence.
5. Third-Party Platform Policies
All marketplaces and quick-commerce platforms operate under their own independent terms, policies, and account-suspension criteria which may change without prior notice. The Company has no control over such platforms' decisions, including but not limited to account suspension, listing takedown, deactivation, payment holds, or policy violations flagged by the platform.
The Company will make reasonable professional efforts to assist with compliance and resolution of such issues where possible, but is not liable for losses arising from actions taken independently by any third-party platform.
6. Limitation of Liability
To the maximum extent permitted by law, the Company's total liability arising out of or relating to the services provided shall not exceed the total service fee actually paid by the Client for the specific service in question during the preceding one (1) month.
Under no circumstances shall the Company be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of profit, loss of business, loss of data, loss of goodwill, or business interruption, even if advised of the possibility of such damages.
The Company shall not be liable for any loss or damage caused by delays, errors, or failures resulting from third-party platforms, payment gateways, courier/logistics partners, internet outages, or other circumstances beyond the Company's reasonable control.
7. Force Majeure
The Company shall not be held responsible for any failure or delay in performance caused by circumstances beyond its reasonable control, including but not limited to natural disasters, government action, internet or server outages, changes in marketplace policy, strikes, pandemics, or other events of force majeure.
8. Intellectual Property
All content, designs, creatives, strategies, tools, and materials developed by the Company during the course of service delivery remain the intellectual property of My Digital Setups unless explicitly transferred in writing upon full and final payment.
The Client grants the Company a limited, non-exclusive right to use the Client's brand name, logo, and product images solely for the purpose of delivering the agreed services and, unless the Client objects in writing, for portfolio and marketing purposes.
9. Confidentiality
Both parties agree to keep confidential any non-public business, financial, or strategic information shared during the course of the engagement, and to use such information solely for the purpose of fulfilling the services agreed upon.
10. Payments
All services require payment in accordance with our Refund & Return Policy. Services will only commence upon receipt of the applicable advance/full payment as communicated at the time of onboarding.
Any delay in payment may result in a pause or termination of ongoing services without any liability to the Company for resulting business impact.
11. Termination
The Company reserves the right to suspend or terminate services, without prior notice, in case of non-payment, provision of false information, abusive conduct, or any activity that is unlawful or damaging to the Company's reputation.
The Client may terminate services by providing written notice; however, any termination shall be subject to the Refund & Return Policy and no amount already utilised towards services rendered shall be refunded.
12. Indemnification
The Client agrees to indemnify and hold harmless My Digital Setups, its owners, employees, and representatives from and against any claims, losses, damages, liabilities, and expenses (including legal fees) arising out of the Client's breach of these Terms, violation of any law, or infringement of any third-party right.
13. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of India. Subject to clause below, the courts at Meerut, Uttar Pradesh shall have exclusive jurisdiction over any disputes arising out of or in connection with these Terms.
Both parties agree to first attempt to resolve any dispute amicably through good-faith discussion. If a dispute is not resolved within 30 days, either party may refer the matter to arbitration under the Arbitration and Conciliation Act, 1996, with a sole arbitrator appointed mutually. The arbitration proceedings shall be conducted in English, and the seat of arbitration shall be Meerut, Uttar Pradesh.
14. Amendments
The Company reserves the right to update or modify these Terms & Conditions at any time without prior notice. The revised Terms will be effective immediately upon being posted on this website. Continued use of our services constitutes acceptance of the amended Terms.
